Terms of Service

1. Acceptance of terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

PourPad is concrete estimating and bidding software. It allows users to sketch pour shapes, calculate measurements and costs, generate branded documents, manage an estimate-to-invoice pipeline, and request or provide field verification services.

3. Authority and account security

You represent that you have authority to enter these Terms and that all information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Acceptable use

You agree not to misuse the Service. Prohibited conduct includes:

• Using the Service for unlawful purposes or in violation of applicable law.
• Fraud, spam, phishing, or other deceptive practices.
• Infringing intellectual property or other rights.
• Interfering with the Service's security, performance, or availability.
• Reverse engineering, scraping, or probing the Service without authorization.
• Uploading malware, viruses, or harmful code.
• Using the Service to generate or distribute illegal or harmful content.

5. Intellectual property

FRAMETEC GROUP owns all rights, title, and interest in and to the Service, including software, documentation, designs, trademarks, and branding. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription. You retain ownership of the data and content you upload.

6. Subscriptions, payments, and billing

Paid plans are billed through Stripe, our payment processor and Merchant of Record. Subscription terms, billing, tax, cancellation, and refund mechanics are governed by Stripe's consumer terms. By subscribing, you authorize Stripe to charge the applicable fees.

Stripe acts as Merchant of Record for our orders and handles tax compliance, receipts, refunds, and transaction-level support on our behalf. Your bank statement may show Stripe's descriptor alongside our business name.

7. Free trial and cancellation

Paid plans may begin with a free trial. A valid payment method is required. If you do not cancel before the trial ends, your subscription begins and you will be charged. You can cancel at any time; cancellation takes effect at the end of the current paid period, and you retain access until then.

8. Service level and warranties

We do not guarantee that the Service will be uninterrupted, error-free, or secure. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Limitation of liability

To the extent permitted by law, FRAMETEC GROUP's aggregate liability is capped at the fees you paid in the twelve months before the claim. We are not liable for indirect, consequential, special, or punitive damages, including lost profits or data, except where liability cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold FRAMETEC GROUP harmless from claims arising out of your content, your use of the Service, or your violation of these Terms.

11. Suspension and termination

We may suspend or terminate your access for material breach, non-payment, security or fraud risk, or repeated or serious policy violations. Upon termination, your right to use the Service ceases, and we may delete or retain your data in accordance with our data retention practices.

12. Governing law

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-law principles. Disputes shall be resolved in the courts located in Chicago, Illinois.

13. General

These Terms constitute the entire agreement between you and FRAMETEC GROUP regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect. We may update these Terms from time to time; continued use after changes constitutes acceptance.
